SalesVault Terms of Service (ToS)

Effective Date: 01 January, 2026

THESE TERMS OF SERVICE CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU (OR THE ENTITY YOU REPRESENT) AND SALESVAULT TECHNOLOGIES PTE. LTD. ("SALESVAULT," "WE," "US," OR "OUR").

1. SCOPE AND INCORPORATION OF RELATED POLICIES

By accessing the SalesVault platform, downloading our software, or utilizing our Services, you agree to be bound by these Terms. This Agreement expressly incorporates by reference the following documents, which together govern your legal relationship with SalesVault:

IN THE EVENT OF ANY INCONSISTENCY between these Terms and the Data Processing Addendum (DPA), the terms of the DPA shall prevail specifically regarding the processing of Personal Data.

2. THE SALESVAULT ECOSYSTEM & PRODUCT SCOPE

SalesVault is a unified B2B Software-as-a-Service (SaaS) sales enablement, content enablement, and buyer enablement platform. These Terms govern all current and future modules, including:

  • Online Non-Downloadable Software: Content Hub, Vaults, Team Dashboard, Groups, Content Links, Sales Plays, Sales Proposals (RFx Response Management), Deal Rooms (Digital Sales Rooms), Digital Asset Management (DAM), Digital Rights Management (DRM), Settings, Live Chat, Analytics and Value Calculators.
  • Downloadable Computer Software: Google Workspace Add-ons (Google Slides, Google Docs, Google Sheets, Google Meet, Google Chat, Google Forms, Gmail), Mobile Applications (iOS, Android) and the SalesVault Chrome Extension.
  • Video Enablement: Seller Video Messaging, Interactive Demo Video and AI Meeting Assistant tools.
  • AI Capability: All AI-driven functionality is exclusively powered by the Google Gemini API.
  • Future Launches: These Terms apply to all updates, enhancements, and new products launched within the SalesVault ecosystem, including features currently in development or Beta.

3. ARTIFICIAL INTELLIGENCE (AI) WARRANTIES & COMPLIANCE

3.1 AI Isolation Warranty: SalesVault warrants that Customer Data processed via the Google Gemini API occurs in a siloed, transactional environment. Customer Data is not used by SalesVault or its Subprocessors to train foundational Large Language Models (LLMs).

3.2 Limited Use Compliance: SalesVault's use and transfer of information received from Google APIs to any other app will strictly adhere to the Google API Services User Data Policy, including the Limited Use requirements.

4. FREE TRIAL PERIOD

4.1 Account-Level Activation: SalesVault may grant a one-time free trial period of ten (10) calendar days per Customer Account (the "Trial Period"). The Trial Period commences immediately upon the initial login of the first Admin into a new Customer Account on the SalesVault platform.

4.2 Collective Duration: Any user subsequently joining the Customer Account—whether via direct invitation, domain-based auto-join, or domain-based approval—shall be subject to the original Trial Period. Access for such users shall terminate concurrently with the expiration of the initial 10-day trial period of the Customer Account activated by the first Admin.

4.3 Usage Restrictions: During the Trial Period, SalesVault reserves the right to restrict access to certain modules or certain functionalities or limit the allocation of free SalesVault AI Credits.

4.4 Post-Free Trial Transition: Upon expiration of the Trial Period, access to the Services will be suspended unless the Customer executes a paid subscription. All data remains subject to the Retention and Disposal Schedule in our Privacy Policy.

5. SALESVAULT AI CREDITS

5.1 Subscription Allocation: Each subscription plan includes a fixed allocation of "SalesVault AI Credits" per billing cycle. Unused credits do not roll over to the next billing period unless explicitly stated in your plan.

5.2 Exhaustion and Top-Ups: Upon exhaustion of your allocated credits, AI-driven features may be restricted until the start of the next billing cycle or until additional "Top-Up" credits are purchased.

5.3 Purchase of Additional SalesVault AI Credits: You may purchase additional AI Credits at the then-current rates. All such purchases are final, non-refundable, and subject to the "No Refunds" policy in Section 10.6.

6. GLOBAL ELIGIBILITY AND ACCOUNT GOVERNANCE

6.1 Global Availability: SalesVault is a global platform available to users and entities worldwide, subject to international trade compliance and sanctions. You are responsible for ensuring your use of the Services complies with local laws in your jurisdiction.

6.2 Google Workspace Exclusivity: SalesVault is engineered exclusively for Google Workspace users. Access via personal Gmail or third-party providers is strictly disallowed.

6.3 Self-Serve Nature: SalesVault is 100% self-serve. You are solely responsible for the configuration of your "Vaults", the management of your Google Workspace permissions, user permissions on the platform, and the accuracy and reliability of all data synced to the platform.

6.4 Corporate Governance: While individual users may manage their personal settings or delete their individual accounts, the Customer (the Organization) remains the Data Controller for all shared workspace data. The deletion of an individual user account does not automatically delete content shared within the Customer’s organization or Deal Rooms.

6.5 Account Security and Unauthorized Access: Users are solely responsible for maintaining the confidentiality of their Google Workspace credentials used for OAuth authentication. You are liable for all activities occurring under your Google Workspace and SalesVault accounts. SalesVault disclaims all liability for any loss, data breach, or unauthorized access resulting from user negligence, including weak credential management or failure to secure active sessions.

6.6 Distribution of Content and Links: You assume sole responsibility and liability for the distribution of any trackable "Content Link” URLs, shared "Deal Rooms", shared "RCOI/TCO Calculators" or shared videos generated through the platform. SalesVault is not responsible for unintended third-party access to Customer Content resulting from your distribution practices, insecure transmission channels, or the failure to implement available platform security configurations (e.g., password protection or link expiration).

7. INTELLECTUAL PROPERTY & USAGE RIGHTS

7.1 Access Rights (Cloud Platform): SalesVault grants you a non-exclusive, non-transferable, revocable right to access and use our online, non-downloadable and installable software.

7.2 License Grant (Downloadable Software): SalesVault grants you a limited, non-exclusive, non-transferable license to use our downloadable software (Google Add-ons, Mobile Apps and Chrome Extensions) solely to interface with the SalesVault platform.

7.3 Customer Content: You retain all ownership of data, files, and CRM metrics synced to the platform.

8. INTEGRATIONS AND THIRD-PARTY SERVICES

8.1. Authorization and Connectivity: The Services allow you to integrate with third-party Sales Technology, including but not limited to:
  • CRM: Salesforce, HubSpot, Pipedrive, Copper, Freshsales, Zoho CRM and other CRMs.
  • Cloud Storage & Productivity: Google Workspace, Dropbox, and Slack.
  • Media & Sourcing: YouTube API (video), Pexels API (imagery) and LinkedIn (messages). Usage of SalesVault’s Video Enablement products constitutes agreement to the YouTube API Terms of Service and the Google Privacy Policy. Imagery usage via SalesVault Add-ons is subject to the Pexels Privacy Policy, while messages and posts on LinkedIn via the SalesVault Chrome Extension are subject to the LinkedIn Privacy Policy.

8.2. eSignature Platforms: SalesVault may allow you to connect third-party eSignature services (e.g., DocuSign, Adobe Sign, Dropbox Sign, GetAccept, PandaDoc, Zoho Sign etc.) within Deal Rooms or Sales Proposals. You acknowledge that SalesVault is not a party to any agreement signed through these tools. You are solely responsible for the legal validity, enforceability, and execution of any documents sent for eSignature via these integrations.

8.3. Independent Relationship: These third-party services are not provided by SalesVault. Your use of such services is governed solely by your separate agreements with those providers. SalesVault does not warrant, support, or assume any liability for the uptime or data integrity of any third-party platform.

8.4. API "Read-Only" and Data Integrity: While SalesVault utilizes secure API "Read-Only" access for CRM data to protect your Source of Truth, you are solely responsible for ensuring your third-party configurations and permissions are correctly managed. SalesVault is not liable for data loss or unauthorized access resulting from your misconfiguration of third-party settings and access levels.

9. ACCEPTABLE USE AND AI RESPONSIBILITY

9.1 Restricted Activity: Users shall not upload "Sensitive Personal Information" (e.g., health data, biometric identifiers) or use the Services for fraudulent activity.

9.2 AI Responsibility & Accuracy: All AI-generated outputs are provided as drafts. Customers are solely responsible for reviewing and verifying the accuracy of AI-generated output before sharing it with third-party buyers or customers.

10. SUBSCRIPTIONS, RENEWALS, AND CANCELLATIONS

10.1. Pricing and Payment Processing: You agree to pay the fees associated with the subscription plan selected at purchase. All payments are processed via Stripe, Inc.

10.2. Subscription Term and Automatic Renewal: All SalesVault Services are provided on a subscription basis for a set term (e.g., monthly or annual). Unless otherwise specified on an Order Form, all subscriptions shall automatically renew for additional periods of the same duration. You authorize SalesVault (via Stripe, Inc.) to charge the then-current subscription fee to your designated payment method at the commencement of each renewal term.

10.3. Cancellation Procedure: You may cancel your subscription at any time via your Account Settings. To avoid being charged for a subsequent renewal term, you must cancel at least forty-eight (48) hours prior to your next scheduled billing date.
  • Monthly Plans: Must be canceled before the monthly renewal date.
  • Annual Plans: Must be canceled before the anniversary of the original purchase.
10.4. Post-Cancellation Access & "Grace Period" Download Rights: Upon cancellation of a paid subscription, your account will remain active at its current tier until the end of the paid billing period. Upon the effective date of cancellation (at the end of your paid billing cycle), your account will transition to a "Canceled" status.
  • 30-Day Retrieval Window: SalesVault will retain your Customer Account data, integrations and sync configurations for a period of thirty (30) days from the date of cancellation (the "Grace Period"). During this Grace Period, authorized users may access the platform solely to download or export Customer Account data and activity logs.
  • Restricted Functionality: During the Grace Period, all active SaaS products, Google Add-ons, Chrome Extension and other features will be disabled.
  • Automatic Purge: Immediately following the expiration of the 30-day Grace Period, SalesVault will initiate the permanent deletion of the account data as defined in Section 12. Data retention remains subject to the Retention and Disposal Schedule defined in our Privacy Policy.
10.5. Seat Management and Prorated Charges: SalesVault subscriptions are typically account-based.
  • Adding Users or Seats: If you add additional users or "seats" during a billing cycle, you will be charged a prorated amount for the remainder of that cycle.
  • Removing Users or Seats: Removing users or seats during a billing cycle will take effect at the start of the next renewal term. No credits or refunds will be issued for "unused" seats during the current billing period.
10.6. No Refunds: All SalesVault payments are non-refundable. This includes initial subscription fees, auto-renewal charges, and SalesVault AI Credit top-ups. We do not provide prorated refunds or credits for:
  • Partial months of service.
  • Unused user seats.
  • Unused AI Credits.
  • Instances where a Customer fails to cancel prior to an automatic renewal.

10.7. Price Adjustments: SalesVault reserves the right to modify subscription pricing and pricing for additional AI Credits. We will provide at least thirty (30) days' notice of any price changes via the email address associated with your Admin(s) and Controller(s). Continued use of the Services after a price change takes effect constitutes agreement to the new pricing.

11. SECURITY AND RISK MITIGATION

11.1. Infrastructure: 100% built on Google Cloud Platform (GCP) with AES-256 encryption at rest and TLS 1.2+ or TLS 1.3 in transit.

11.2. Limitation of Liability: To the maximum extent permitted by law, SalesVault's total aggregate liability shall not exceed the total amount of fees paid by the Customer in the twelve (12) months immediately preceding the event giving rise to the liability.

11.3. Risk Mitigation: SalesVault maintains an internal security program and financial resources designed to meet its remediation obligations as defined in the Data Processing Addendum (DPA).

12. TERMINATION

Upon termination, SalesVault shall delete all Customer Personal Data from active production environments within thirty (30) days. This is subject to statutory and analytical retention obligations, including 7 years for billing/tax records and 24 months for interaction analytics.

13. GOVERNING LAW AND JURISDICTION

This Agreement is governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
