Welcome to SalesVault. These Terms of Service ("Agreement") form a legally binding agreement between you (or the company or entity you represent) and SALESVAULT TECHNOLOGIES PTE. LTD. ("SalesVault," "we," "us," or "our"). By creating an account or using our platform, you agree to these terms. This Agreement includes our standard Data Processing Addendum (DPA), which applies automatically to your account to ensure modern privacy and security compliance.
By accessing the SalesVault platform, downloading our software, or utilizing our Services, you agree to be bound by these Terms. This Agreement expressly incorporates by reference the following documents, which together govern your legal relationship with SalesVault:
1.1 Data Processing Addendum (DPA): Governing the processing of Personal Data, which is automatically incorporated into this Agreement upon account creation.
1.2 Privacy Policy & Cookie Policy: Detailing our data collection architecture and "Privacy-by-Design" framework.
1.3 California & US Notice at Collection: Providing required disclosures under the CCPA/CPRA and other US state privacy laws.
SalesVault is a unified B2B Software-as-a-Service (SaaS) sales enablement, content enablement, and buyer enablement platform. These Terms govern all current and future modules, including:
3.1 AI Safety & Data Isolation: All AI capabilities on our platform are powered securely through the Google Gemini API. We process your data in an isolated, transactional environment. SalesVault will never use your sales content, files, or CRM data to train foundational or public AI models. AI tools are intended to generate drafts; you are solely responsible for reviewing and verifying the accuracy of AI outputs.
3.2 Limited Use Compliance: SalesVault’s use and transfer of information received from Google APIs to any other app will strictly adhere to the Google API Services User Data Policy, including the Limited Use requirements.
4.1 10-Day Free Trial: Your Customer Account is eligible for a one-time 10-day free trial. The trial countdown starts when your team's first administrator creates the account. Any team members who join your Customer Account later will share this same 10-day trial window. When the free trial ends, SalesVault features will pause until you choose a paid subscription plan. All data remains subject to the Retention and Disposal Schedule in our Privacy Policy.
4.2 Usage Restrictions: During the 10-Day Free Trial, SalesVault reserves the right to restrict access to certain modules or certain functionalities or limit the allocation of free SalesVault AI Credits.
5.1 Subscription Allocation: Each subscription plan includes a fixed allocation of "SalesVault AI Credits" per billing cycle. Unused plan-allocated credits automatically expire at the conclusion of each billing cycle and do not roll over.
5.2 Exhaustion and Top-Ups: Upon exhaustion of your allocated credits, AI-driven features may be restricted until the start of the next billing cycle or until additional "Top-Up" credits are purchased.
5.3 Purchase of Additional SalesVault AI Credits: You may purchase additional AI Credits at the then-current rates. All such purchases are final, non-refundable, and subject to the "No Refunds" policy in Section 10.6.
6.1 Eligibility: SalesVault is designed exclusively for businesses utilizing Google Workspace. To protect system integrity, sign-ups via personal Gmail or third-party email providers are not supported. You must comply with all local laws applicable to your business when using our platform.
6.2 Self-Serve Nature: SalesVault is a 100% self-serve platform. You are solely responsible for the configuration of your "Vaults", the management of your Google Workspace permissions, user permissions on the platform, and the accuracy and reliability of all data synced to the platform. By configuring these integrations, you explicitly authorize the automated background integration systems of SalesVault to execute the historical extractions, background refreshes, and continuous asset monitoring specified in Section 6.6(a) and Section 6.6(b).
6.3 Corporate Governance: Your Organization remains the primary owner of all Customer Account data associated with your corporate domain. The deletion or termination of an individual user account by an end-user does not delete, modify, or restrict access to data shared within the Customer Account environment, and the Organization's designated Administrator retains overriding administrative authority over such data. Any action taken within the Services to attach files or sync data to an authenticated third-party CRM is a purposeful, user-initiated action for which you assume full responsibility.
6.4 Account Security and Unauthorized Access: Users are solely responsible for maintaining the confidentiality of their Google Workspace credentials used for OAuth authentication. You are liable for all activities occurring under your Google Workspace and SalesVault accounts. SalesVault disclaims all liability for any loss, data breach, or unauthorized access resulting from user negligence, including weak credential management or failure to secure active sessions.
6.5 Operational Responsibility for Content Links, Vaults, and Deal Rooms: You assume exclusive legal and operational liability for the generation, management, and distribution of all trackable URLs and Content Links, as well as the user access permissions configured within your internal Vaults and external Deal Rooms (collectively, "Platform Outputs"). SalesVault functions strictly as an automated hosting intermediary and disclaims all responsibility for unintended third-party access, data exposure, or regulatory violations resulting from your distribution practices, unencrypted transmission channels, or your failure to implement available Content Link security settings (including password verification or Content Link expiration parameters). You warrant that all content distributed via Content Links complies fully with applicable intellectual property laws and the third-party platform terms incorporated under Section 8.1.
6.6 Data Ingestion, Synchronization, and Storage Architecture:
The Services utilize distinct data governance frameworks based on the source and processing method of the synchronized data:
(a) Google Drive, YouTube & URL Links (Metadata-Only): For content synced from your Google Drive accounts, YouTube channels, or connected external URLs, the Services utilize a metadata-only search index. We do not replicate, copy, or store your actual file bodies on our servers. SalesVault stores only standard document metadata and dynamic business identifiers. To keep the SalesVault Content Hub up to date, you grant the automated background systems of SalesVault the right to execute periodic daily refreshes.
(b) CRM Connected Data (File Extraction): When you link your CRM (e.g., Copper, Pipedrive, HubSpot, Zoho, Freshworks, Salesforce), you grant us the right to automatically access, extract, process and store the physical content files (such as PDFs) attached to your CRM deals and opportunities. This includes an automated historical pull of documents from deals active over the preceding 18 to 24 months, along with continuous background syncing for new CRM deal attachments into your Vaults.
(c) Direct Device Uploads: Any documents, presentations, or media assets uploaded directly from your computer or device into SalesVault are securely stored on our servers indefinitely for as long as your Customer Account remains active.
7.1 Access Rights (Cloud Platform): SalesVault grants you a non-exclusive, non-transferable, revocable right to access and use our online, non-downloadable and installable software.
7.2 License Grant (Downloadable Software): SalesVault grants you a limited, non-exclusive, non-transferable license to use our downloadable software (Google Add-ons, Mobile Apps and Chrome Extensions) solely to interface with the SalesVault platform.
7.3 Customer Content and Operational Platform License: You retain absolute ownership, title, and intellectual property rights in all data, files, and CRM metrics you sync or upload to the platform ("Customer Content"). To enable the automated operation of the platform, you grant SalesVault a worldwide, non-exclusive, royalty-free, fully paid-up license to host, store, process, parse, reproduce, and display your Customer Content solely as necessary to operate your account, generate your Vaults, and render your Platform Outputs. SalesVault explicitly guarantees that your Customer Content will never be used to train foundational, public, or cross-tenant machine learning or artificial intelligence models without your prior written authorization.
8.1. Authorization and Connectivity: The Services allow you to integrate with third-party Sales Technology, including but not limited to:
8.2. eSignature Platforms: SalesVault may allow you to connect third-party eSignature services (e.g., DocuSign, Adobe Sign, Dropbox Sign, GetAccept, PandaDoc, Zoho Sign etc.) within Deal Rooms or Sales Proposals. You acknowledge that SalesVault is not a party to any agreement signed through these tools. You are solely responsible for the legal validity, enforceability, and execution of any documents sent for eSignature via these integrations.
8.3. Independent Relationship: These third-party services are not provided by SalesVault. Your use of such services is governed solely by your separate agreements with those providers. SalesVault does not warrant, support, or assume any liability for the uptime or data integrity of any third-party platform.
8.4. Two-Way CRM Synchronization and Data Integrity: SalesVault utilizes secure API access to enable automated two-way synchronization with your integrated CRM. You agree that SalesVault may extract, process, and analyze relevant deal metadata and timestamps to generate platform analytics. SalesVault utilizes Write-Access solely to attach Content Links, upload Platform Outputs, and log user-initiated interaction analytics directly within your CRM account, and will not delete or overwrite your core CRM deal or opportunity records. By enabling this integration, you warrant that you have obtained all necessary third-party CRM consents to share this data with SalesVault. You remain solely responsible for correctly managing your third-party CRM configurations and API permissions.
9.1 Restricted Activity: Users shall not upload "Sensitive Personal Information" (e.g., health data, biometric identifiers) or use the Services for fraudulent activity.
9.2 AI Responsibility & Accuracy: All AI-generated outputs are provided as drafts. Customers are solely responsible for reviewing and verifying the accuracy of AI-generated output before sharing it with third-party buyers or customers.
10.1. Pricing and Payment Processing: You agree to pay the fees associated with the subscription plan selected at purchase. All payments are processed via Stripe, Inc.
10.2. Subscription Term and Automatic Renewal: All SalesVault Services are provided on a subscription basis for a set term (e.g., monthly or annual). Subscriptions automatically renew for the same duration based on the active user count and tier configuration actively processed within SalesVault’s billing interface at the exact runtime hour of renewal. You authorize SalesVault (via Stripe, Inc.) to charge the renewal subscription fee to your designated payment method at the commencement of each renewal term.
10.3. Cancellation Procedure: You may cancel your subscription at any time via your Account Settings. Cancellations must be submitted by Customer Account administrators via Account Settings at least twenty-four (24) hours prior to the renewal date (calculated strictly based on Singapore Standard Time, UTC+08:00) to guarantee automated system processing before the next billing cycle executes.
10.4. Payment Failures, Account Pausing, and Automatic Cancellation: If an automatic subscription renewal charge fails for any reason, SalesVault will immediately place your Customer Account into a "Paused" status, instantly suspending active platform access, content synchronization, workflow integrations, and AI credit utilization. Following the initial failure, SalesVault will automatically execute up to eight (8) payment retry attempts through Stripe, Inc. over a fourteen (14) consecutive calendar-day dunning cycle. You may resolve the pause at any time during this cycle by updating your payment method via the SalesVault billing settings page. If the balance remains uncollected after the fourth (4th) attempt, your account will automatically transition to a permanently "Cancelled" status without further notice or liability to SalesVault. Upon cancellation, your data lifecycle is governed strictly by Section 10.5 and Section 12.
10.5. Cancellation, Account Status and Data Deletion: Upon cancellation—whether initiated voluntarily by the Customer via the self-serve dashboard or executed automatically by SalesVault under Section 10.4—the Customer Account transitions to a non-active "Cancelled" status. For voluntary cancellations, full platform access persists until the end of the current prepaid billing cycle. Upon officially entering a Cancelled status, and at the end of the current paid billing cycle, the account immediately begins a mandatory thirty (30) day read-only grace period. During this window, users can log in solely to manually export your data and files. Upon expiration of this 30-day grace period, all associated account and user data will be queued for automated permanent deletion and purged from active production environments within thirty (30) days, governed strictly by Section 12.
10.6. Managing Seats: You can add user seats instantly at any time; Stripe will automatically calculate and charge a prorated fee for the remainder of your billing cycle. Removing seats will take effect at the start of your next billing cycle.
10.7. No Refunds: All SalesVault payments are non-refundable. This includes initial subscription fees, auto-renewal charges, and SalesVault AI Credit top-ups. We do not provide prorated refunds or credits for:
10.8. Price Adjustments: SalesVault reserves the right to modify subscription pricing and pricing for additional AI Credits. We will provide at least thirty (30) days' notice of any price changes via the email address associated with your Admin(s) and Controller(s). Continued use of the Services after a price change takes effect constitutes agreement to the new pricing.
11.1. Infrastructure: 100% built on Google Cloud Platform (GCP) with AES-256 encryption at rest and TLS 1.2+ or TLS 1.3 in transit.
11.2. Limitation of Liability:
11.3 Customer Indemnification: You agree to defend, indemnify, and hold harmless SalesVault and its officers, directors, and employees from and against any and all third-party claims, liabilities, losses, damages, demands, and expenses (including reasonable legal fees and court costs) arising out of or relating to:
(a) Data Consent Failures: Your breach of the warranties set forth in Section 8.4, including any failure to secure all necessary third-party consents before syncing CRM deal metrics, customer contact details, or personal data to SalesVault; or
(b) Unauthorized Distribution: Any unauthorized access, data exposure, or regulatory breaches resulting from your users' distribution or management of trackable Content Links, Vaults, or Deal Rooms as described in Section 6.5.
SalesVault will promptly notify you in writing of any such claim, and you will assume immediate control of the defense and settlement negotiations at your sole expense; provided, however, that you may not settle any claim against SalesVault without our prior written consent if the settlement imposes any material obligation or admission of liability upon us.
When your Customer Account is permanently closed, we automatically wipe your customer data from active production environments within 30 days, keeping only standard billing and analytics records required for legal and tax compliance.
This Agreement is governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
